The agreement covers the terms of your participation in The Industry Resource Artist Community, including posting songs and Artist Profile information on The Industry Resource. As the one responsible (at least, in part) for your act's business affairs, you should always read any agreement before accepting its terms.

												GENERAL
												(1)Tirium Inc., its subsidiaries, and affiliates (collectively, "The Industry Resource") will give you the option to make available one or more of your songs for streaming. The format of such distribution may change or be limited to only streaming. You can always choose to remove your song(s) from The Industry Resource site. The Industry Resource reserves the right to limit the amount of songs made available.
												(2) If You choose to make one or more songs available through The Industry Resource, You hereby grant The Industry Resource a royalty-free, non-exclusive, worldwide, revocable right to make such song(s) available for streaming or for digital distribution in a comparable media including but not limited to wireless devices. The Industry Resource will not sell your song(s) or distribute them other than as contemplated by this agreement without your consent.
												(3) You represent and warrant that you have the right and authority to enter into this agreement. You further represent that you have ownership of all copyrighted material associated with anything that you upload or cause to be uploaded to The Industry Resource site, including but not limited to your master recordings and your songs. You represent that entering into this agreement will not violate any third party's intellectual property or other rights, or violate any law or regulation. You are solely responsible for any liability associated with content that you make available to The Industry Resource.
												(4) You agree that The Industry Resource or its users may from time to time comment on or critique your music or your act. You consent to such actions.
												(5) You represent and warrant that any and all information that you provide to The Industry Resource has been and will be truthful and accurate. You promise to promptly notify The Industry Resource in the event that any information that you have provided changes.
												(6) You agree to indemnify and hold The Industry Resource, theindustryresource.com, and T.I.R., its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates, harmless from any demands, loss, liability, claims, or expenses (including attorneys' fees) made against The Industry Resource, theindustryresource.com, and T.I.R., by any third party due to or arising out of or in connection with your use of the Site. You further warrant and represent that you own all right, title, and interest in any content uploaded to theindustryresource.com.  You agree to indemnify T.I.R., Tirium, Inc., theindustryresource.com, its agents, officers, successors, and/or assigns, from any liability arising from your breach of this warranty and representation.
												(7) In the event that The Industry Resource, in good faith, discovers that You have made any misrepresentations, or that continuing a relationship with You may cause The Industry Resource to incur any financial or criminal liability, The Industry Resource may terminate this agreement.
												(8) IN NO EVENT SHALL THE INDUSTRY RESOURCE, ITS SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED TO ANY USE OF THE SITE OR: (I) RELIANCE UPON THE FUNCTIONALITY OF THE SITE, INCLUDING BUT NOT LIMITED TO DISPLAYING YOUR INFORMATION AND MAKING YOUR SONGS AVAILABLE; (II) DELAY EXPERIENCED BY ANY INDIVIDUAL OR ENTITY IN USING THE SITE; OR (III) INABILITY OF ANY INDIVIDUAL OR ENTITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO THOSE ATTEMPTING TO VIEW YOUR ARTIST PROFILE OR LISTEN TO YOUR MUSIC, EVEN IF THE INDUSTRY RESOURCE WAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT THAT ANY OF THESE LIMITATIONS OF LIABILIITY IS FORBIDDEN BY LAW, THESE DISCLAIMERS OF LIABILITY SHALL REMAIN IN FORCE TO THE EXTENT PERMITTED BY APPLICABLE LAW.
												(9) The Industry Resource shall not sell your music without your consent.
												(10) The Industry Resource may from time to time award prizes to artists whose songs are the top-rated streams on The Industry Resource and receive major radio play on our Internet radio station. The Industry Resource reserves the right to amend the Rules governing such competitions.
												(11) You authorize The Industry Resource to release information concerning you and your streaming file uploads to Sound Scan, The Industry Resource Advisory Board, Industry Resource members, and other members of the entertainment community.
